Terms of Service and Client Service Agreement

Provided by Project Cashflow, LLC

Effective date / last updated: October 12, 2026

Website: https://getprojectcashflow.com

Support and cancellation: support@getprojectcashflow.com

1 Parties acceptance and eligibility

These Terms and the integrated Client Service Agreement (“Agreement”) govern Project Cashflow Analyst (“PCF Analyst”), provided by Project Cashflow, LLC (“PCF,” “we,” “us”), and the purchasing business (“Client,” “you”). Services are for business purposes, not personal, family, or household use. The person accepting must be at least 18 and authorized to bind the Client.

The Client accepts through an affirmative acceptance checkbox or electronic signature after receiving access to this Agreement. Browsing the website alone does not enroll the Client or authorize charges. The accepted order identifies the Client, authorized representative, designated email, covered business and QuickBooks company, subscription price, and billing date. PCF supplies an electronic copy of this Agreement and the order confirmation.

PCF delivers services remotely from Florida. This Agreement does not determine whether either party must register, obtain licenses, or pay taxes in another jurisdiction.

2 Integrated client service agreement included services

The standard subscription covers analysis for one business and one QuickBooks company unless an accepted written order specifies otherwise.

Daily reviews

A review on each Business Day of accessible, relevant financial and operational information within the agreed scope, including material cash flow movements, budget variances, profitability trends, and selected KPIs/KRIs.

Weekly reports

One written report each service week, summarizing available findings, material risks, and prioritized recommendations.

Quarterly meetings

One remote business review meeting per successive three-month period of active service. PCF offers scheduling options before the period ends.

Meetings as needed

Additional remote meetings at the Client’s request to discuss included analysis, reports, or relevant business concerns, included without a separate meeting fee and scheduled by mutual availability.

“Business Day” means Monday through Friday, excluding U.S. federal holidays, using Eastern Time. Daily reviews do not mean seven-day service, real-time monitoring, a daily written report, or an audit of every transaction. Weekly reports are delivered by the last Business Day of the service week; the first may cover a partial week. A lack of new data does not eliminate a scheduled review or report: PCF identifies the limitation and reports on the information available.

Quarterly meetings and requested meetings are subject to reasonable scheduling, not an emergency or 24-hour service. PCF does not impose a fixed annual allotment of requested meetings under the standard plan. The parties coordinate a practical agenda and schedule; requests for separate implementation projects or out-of-scope work require the written approval described below. Client-caused missed meetings are rescheduled reasonably and do not generate a cash credit; PCF-caused missed meetings will be rescheduled promptly, including after the paid period if necessary.

Included work may involve financial statement and profitability analysis; cash flow projections; financial planning and modeling for business operations; budgeting and variance analysis; KPI/KRI reporting; business operations, strategy, workflow and SOP recommendations; project planning analysis; and business risk assessment. Contract support is limited to commercial terms, financial impact, and negotiation preparation. PCF does not interpret legal enforceability, draft legal instruments, or act as legal counsel.

These subjects describe the available analysis, not a promise to undertake every possible project simultaneously. During onboarding, the parties document priorities, available records, selected metrics, report delivery method, and contacts. This does not remove the daily, weekly, or meeting commitments above.

No fixed analyst-hour cap is imposed by this Agreement. The subscription does not include unlimited separate implementation projects, bookkeeping, transaction entry, payroll processing, tax filings, legal services, additional businesses, or dedicated full-time staffing. PCF may suggest a separately priced project, but cannot charge additional fees, reduce included commitments, or replace this scope without the Client’s affirmative written agreement. Included deliverables are reviewed by a human analyst before delivery.

3 QuickBooks requirement and onboarding

An active QuickBooks Online subscription and authorized access to the covered company are required for the standard service. The Client pays Intuit separately. Other accounting systems or QuickBooks Desktop are supported only if PCF agrees in writing before purchase.

Access may be provided through Intuit’s accountant invitation and account-management tools; a custom website integration is not required. PCF is an independent service provider and is not Intuit or endorsed by Intuit.

The Client supplies appropriate permissions, maintained books, and reasonably requested records. PCF requests access limited to what is necessary. The Client must not send shared passwords, full payment-card details, or unnecessary sensitive personal information through ordinary email.

The first service period begins on the start date disclosed and accepted before the initial charge. PCF confirms readiness and access during onboarding. If access is not ready, the parties agree in writing to defer the paid start or identify any paid onboarding work before charging; PCF will not silently charge for an unavailable service.

After service starts, Client-caused missing access or records may limit analysis. PCF promptly explains the limitation and continues available work. Prolonged interruptions require discussion of a pause, revised scope, or cancellation; PCF will not renew an entirely suspended service without the Client’s affirmative agreement. Client delay alone does not automatically create a refund for work and capacity already provided.

Accountant permissions may technically permit changes. They do not authorize PCF to alter books, initiate payments, transfer funds, sign contracts, borrow, file returns, or act for the Client. Those actions require separate express written authority and an agreed scope, and PCF may decline them. The Client can revoke access at any time.

4 Price recurring billing and taxes

The standard price is $2,500 USD per month, billed in advance. The subscription renews automatically each month until canceled. There is no annual commitment or cancellation penalty.

A different price applies only if expressly accepted in the order. Before charging, PCF discloses the amount, frequency, initial charge date, renewal schedule, any applicable taxes, and cancellation method and obtains express recurring-payment authorization. The Client authorizes PCF and its payment processor to charge the approved method accordingly. There is no undisclosed setup fee.

The initial accepted billing date anchors monthly renewals. If that day does not exist in a month, renewal occurs on that month’s last day. The confirmation shows the next renewal date. Payment-card information is handled through the payment processor; PCF does not require clients to email card credentials. Any ACH authorization must separately satisfy applicable banking and payment-network requirements.

PCF gives at least 30 days’ written notice of a price increase, effective only at a renewal after that notice period. The Client may cancel before it takes effect. Additional projects require affirmative approval of scope and price before work or billing.

The Client keeps billing details current. Failed payments may be retried in accordance with the disclosed processor arrangements; retries do not create additional subscription fees. PCF gives written notice and a reasonable opportunity to resolve failure before suspending ordinary service. No late fee applies unless separately disclosed and agreed. Neither party’s statutory or payment-network dispute rights are waived.

5 Cancellation and refunds

Cancel by emailing support@getprojectcashflow.com, or using the cancellation control provided through the website or payment processor. PCF provides an online cancellation route for online enrollment without requiring a telephone call, in-person visit, or sales conversation.

A clear cancellation request identifying the Client is effective when received, not when PCF later processes or acknowledges it. No advance notice period applies: a request received before the next renewal charge stops that renewal. PCF confirms cancellation and the last service date in writing. Services continue through the paid period unless the Client requests an earlier end.

Subscription fees are nonrefundable for services performed. Cancellation, an unused opportunity to request a meeting, a change of plans, dissatisfaction with recommendations, or failure to achieve a desired business result does not create a refund entitlement. The sole contractual service-refund exception is for services PCF fails to perform, subject to the notice and cure process below. This policy does not limit refunds required by applicable law. Erroneous, duplicate, unauthorized, or post-cancellation charges are billing errors, not earned service fees, and will be corrected and refunded where appropriate without requiring the service cure period.

To request a refund for nonperformance, the Client must send written notice to support@getprojectcashflow.com identifying the affected paid service period and the specific agreed services not performed. PCF has fifteen (15) Business Days, beginning on the first Business Day after receipt of that notice, to perform the omitted services or otherwise cure the nonperformance. The Client must provide access, records, and reasonable cooperation needed for the cure. If PCF cures within that period, no contractual service refund is due. If PCF fails to cure, the Client may terminate the affected service and receive a refund limited to the prepaid fees reasonably attributable to services that remain unperformed. Fees for services performed remain nonrefundable. A partial failure does not automatically entitle the Client to a refund of the entire month; a complete failure to perform a paid service period entitles the Client to a refund for that period. PCF will explain the refund calculation in writing and issue an approved refund to the original payment method within ten (10) Business Days after the cure period ends. This process does not delay ordinary cancellation, permit charges after effective cancellation, postpone a mandatory legal deadline, or restrict nonwaivable remedies or urgent relief.

6 Client responsibilities and professional limits

The Client provides accurate, complete, timely information and lawful permission to share it, maintains its books and internal controls, and retains management authority and responsibility for implementation and compliance. PCF may rely on supplied information without independently auditing it, but will identify apparent material inconsistencies encountered in its work.

PCF provides business analysis and operational financial advice. It does not provide CPA audit, attestation or assurance services; legal representation or opinions; tax preparation or formal tax opinions; securities recommendations or regulated investment advice; investment management; insurance brokerage; or other services requiring a license that PCF does not hold. Any future licensed service requires a separate agreement and qualified provider.

PCF is an independent contractor, not the Client’s employee, officer, agent, fiduciary investment manager, or authorized decision-maker. Marketing references to an alternative to an in-house analyst describe the service’s purpose and do not promise the full duties, availability, or authority of a full-time employee.

7 Service standard and results

PCF will perform included services with reasonable care and skill and use professionally reasonable judgment. Forecasts depend on disclosed assumptions and available information. PCF does not guarantee specific profits, savings, revenue, cash flow, financing approvals, or prevention of losses, fraud, insolvency, or disruption. Recommendations do not eliminate PCF’s responsibility to perform the agreed services.

Client communications are handled during Business Days. PCF acknowledges ordinary service requests within two Business Days; substantive completion depends on the request and available records. PCF informs the Client of material delays. Remote delivery and meetings do not include on-site visits.

8 Mutual confidentiality

Each party protects the other’s nonpublic business information using reasonable care, uses it only to perform or administer this relationship or as otherwise lawfully authorized, and restricts disclosure to personnel, contractors, service providers, and professional advisers with a need to know and appropriate confidentiality duties. PCF remains responsible for the performance of its subcontracted service obligations.

Exceptions apply to information lawfully known beforehand, independently developed, lawfully obtained without restriction, or public without breach. Legally compelled disclosure is permitted, with advance notice where lawful and practicable and disclosure limited as required.

PCF will not sell Client confidential information or use it in public marketing, testimonials, case studies, or public demonstrations without separate written permission. Confidentiality survives termination while information remains confidential.

9 Data protection technology and incidents

PCF uses reasonable administrative, technical, and organizational safeguards appropriate to the data, including restricted access, appropriate authentication, protected transmission and storage, and secure disposal. The Client uses secure accounts and provides only data reasonably needed for analysis.

PCF may use payment, accounting, cloud, document-sharing, analytics, and AI service providers under appropriate contractual and security arrangements. Confidential Client information will not be submitted to public AI tools or used to train general-purpose AI models without separate express written authorization. Approved processing tools must have suitable confidentiality protections and controls against unauthorized training or disclosure. AI outputs are checked by a human analyst before inclusion in deliverables.

No system is completely secure. That fact does not excuse reasonable safeguards or legal duties. PCF notifies the Client without unreasonable delay after discovering a breach affecting its information, supplies reasonably available details and updates, and cooperates in response. Where PCF is a third-party agent subject to Florida Statutes section 501.171, notice to the covered entity occurs as expeditiously as practicable and no later than ten days after determination or reason to believe a breach occurred. A shorter applicable legal deadline controls. Required notices to individuals, regulators, or other parties remain the responsibility of the party legally obligated to provide them unless validly delegated.

Client data remains the Client’s property. At termination, PCF ceases routine access and assists reasonably with revocation. On request within 30 days, PCF supplies available Client-provided files and completed paid deliverables in commonly usable formats, without withholding Client source records over a billing dispute. PCF deletes or returns working data within 90 days after termination except records reasonably required for legal, tax, dispute, or documented retention purposes and protected backup copies removed through the ordinary backup cycle. Retained information remains protected and is not used for unrelated purposes.

Website personal-data practices are explained separately in PCF’s Privacy Policy. That policy must reflect actual practices and does not reduce these contractual commitments. Data subject rights and legally required processing agreements apply where required. Health records, payment-card authentication data, and other specially regulated data must not be supplied without prior written agreement and any required safeguards or separate data agreement.

10 Intellectual property

The Client owns its source information. PCF owns its preexisting and independently developed methods, templates, software, and frameworks. Upon payment, the Client receives a perpetual, nonexclusive license to use and adapt final deliverables for its internal business operations and to share them with its employees and professional advisers under suitable confidentiality duties.

The Client may not resell PCF’s proprietary tools or distribute them as a competing product. This restriction does not prevent sharing Client-owned information or using the Client’s own knowledge. Third-party software licenses govern those products. PCF does not acquire ownership of Client data by analyzing it.

11 Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, including consequential lost profits or business interruption.

Except for the exclusions below, each party’s aggregate liability arising from this Agreement will not exceed subscription fees paid or payable for services actually provided during the twelve months preceding the event giving rise to the claim. This cap does not require payment for future unprovided services.

The damage exclusions and cap do not apply to fraud, gross negligence, willful misconduct, infringement or misappropriation of the other party’s intellectual property, or liability that law prohibits limiting. The cap does not reduce earned unpaid fees or refunds expressly owed under this Agreement. Nothing waives mandatory statutory remedies or excuses agreed performance.

12 Suspension termination and disruptions

Either party may terminate for a material breach after written notice and fifteen (15) Business Days to cure where reasonably curable. The service-nonperformance refund process in Section 5 applies to PCF’s failure to perform included services. PCF may immediately restrict access when reasonably necessary to prevent unlawful conduct or a verified, imminent security threat to the PCF infrastructure, and gives prompt notice where lawful.

PCF may end the service for business reasons with 30 days’ written notice and will perform services through the paid end date. If PCF ends service before completing a paid period, it refunds prepaid fees attributable to services it will not perform; no cure period is required when PCF confirms that it will not perform those services. A suspension caused by PCF or a provider failure does not itself create an immediate refund entitlement. PCF will attempt to restore and complete the affected services, and the notice and fifteen (15) Business Day cure process in Section 5 applies if services remain unperformed. Client cancellation remains available during suspension.

Neither party is responsible for delays caused by extraordinary events beyond reasonable control, provided it gives prompt notice and takes reasonable steps to mitigate and resume performance. This does not excuse safeguards, earned payments, or refunds required by law. If a disruption prevents PCF from performing agreed services, the Client may give written notice under Section 5. If PCF does not restore and cure performance within fifteen (15) Business Days after receipt of notice, the Client may terminate the affected service and receive a refund limited to prepaid fees attributable to services that remain unperformed. Fees for performed services remain nonrefundable.

13 Changes to this Agreement

PCF gives at least 30 days’ notice of material changes to existing subscriptions and a clear opportunity to cancel. Material scope reductions, new fees outside disclosed renewals, or changes requiring affirmative consent take effect only with that consent. Changes are prospective and do not alter accrued rights or pending disputes. Legally required urgent changes may take effect sooner only to the extent necessary, with prompt notice.

14 Governing law mandatory protections and disputes

Florida law governs, without applying conflict-of-law rules that would defeat this choice, except that applicable federal law and nonwaivable protections under otherwise applicable law remain controlling. Nothing in this Agreement contracts out of mandatory privacy, security, subscription, professional-licensing, or other legal obligations.

Before litigation, the parties attempt good-faith resolution for 30 days after written dispute notice. This does not prevent urgent relief, regulator complaints, payment disputes, timely filings needed to preserve rights, or other nonwaivable remedies.

Subject to mandatory law and court jurisdiction, disputes may be brought in state courts in Leon County, Florida, or the U.S. District Court for the Northern District of Florida with jurisdiction over the dispute. No mandatory arbitration or class-action waiver is imposed by this Agreement.

15 Electronic records notices and general terms

The parties agree to electronic records and signatures to the extent permitted by the federal E-SIGN Act and applicable state law. PCF supplies an accessible, retainable Agreement and confirmation. Electronic acceptance is recorded with the accepted version, date, Client, and authorized representative. Transactional notices go to the designated Client email; Client notices go to support@getprojectcashflow.com. PCF does not condition cancellation on use of postal mail.

This Agreement and accepted order comprise the service agreement. A later mutually signed amendment controls only the expressly modified subjects. Any separate data-processing agreement controls its data-processing subject matter. The Privacy Policy describes practices and does not expand the service scope or payment authorization.

If a provision is unenforceable, the rest remains effective where lawful. Failure to enforce a provision is not waiver. Neither party may assign this Agreement in a way that materially reduces the other party’s rights without consent, except a lawful business succession with assumption of obligations and notice. Confidentiality, ownership, accrued payments, applicable liability provisions, and dispute provisions survive termination as appropriate.
